Course Description

Description of the course: Contracts I & II gives a complete overview of American contract law. This course covers the majority of key concepts that are taught in first-year law school classes. Every lecture is built around a common-law case, which combines legal doctrines and policy discussion. This course covers important sections of the Uniform Commercial Code, which regulates the sale and purchase of goods. The learner should understand the following by the end:

Form defenses are how an otherwise valid contract may be declared null, including by mistake, frauds, misrepresentation and duress.

Performance refers to the content and scope of a contract obligation. It also includes conditions and the duty of good-faith and impracticability defence.

The remedies available for contract breaches include various forms of injunctive and money damages.
