Venture Capital Course: Here you will learn how to evaluate different sections of term sheets. Carlos Martinez is my name and I hold a Ph.D. from the University of St. Gallen in Management. During my doctoral studies I explored access to entrepreneurial finance in contexts that have institutional voids. This research was presented at several prestigious academic conferences and doctoral coloquiums at the University of Tel-Aviv, Politecnico di Milano, University of Halmstad, and MIT (USA). It was also published partially in the book "New Frontiers in Entrepreneurial Finance Science," which was co-edited with established professors in the Entrepreneurial Finance literature.
This course was created for potential entrepreneurs and students who are interested in a career in Venture Capital funds. At the end of this course, you will understand the Venture Capitalists'investment decision-making process and be able to evaluate the different sections of a term sheet: the valuation, vesting, convertible preferred equity, and anti-dilution provisions.
This course uses case-based learning and a practical approach. We will first review the VC decision-making process. Secondly, we will discuss the VC valuation model. Then, you'll assume the role of an entrepreneur and evaluate various scenarios according to the vesting provisions. Next, you'll estimate various investment vehicles including simple and participating convertible preferred stock with different exit values. We will then show you the full ratchet as well as the weighted average antidilution provisions. you'll have access to all Excel files we create during the course.
This course is ideal for young entrepreneurs and professionals who are interested in scaling their funding. Only one requirement is basic knowledge of spreadsheets.
